Terms of Service

These Terms of Service (“Terms“) govern your access to and use of the website, products, and platforms operated by Cognix Pte Ltd (“Cognix“, “we“, “us“, or “our“), including Chat Shop, QR Ordering, HRMS, InspectionFlow, Winsage, and SageFoundry (collectively, the “Services“). By accessing our website or using any of our Services, you agree to be bound by these Terms.

Where you use our Services on behalf of an organisation, you confirm that you are authorised to accept these Terms on that organisation’s behalf, and “you” refers to both you and that organisation.


1. Our Services

Cognix provides software products, enterprise AI platforms, and professional services, including custom software development, AI integration, and AI training. Specific terms relating to a particular product, platform, or engagement (such as a signed proposal, order form, or statement of work) will supplement these Terms, and in the event of a conflict, the specific agreement will prevail for that engagement.

We may modify, suspend, or discontinue any part of our Services at any time, and will provide reasonable notice where a change materially affects your use of a Service you are actively subscribed to.


2. Accounts

Where a Service requires an account, you agree to:

  • Provide accurate and complete information when registering;
  • Keep your login credentials confidential and secure;
  • Notify us promptly of any unauthorised use of your account;
  • Be responsible for all activity that occurs under your account.

We may suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.


3. Acceptable use

You agree not to use our Services to:

  1. Violate any applicable law or regulation, including the PDPA, the Computer Misuse Act, and the Spam Control Act;
  2. Transmit unlawful, defamatory, obscene, or infringing content;
  3. Send unsolicited commercial messages in violation of the Do Not Call Registry or WhatsApp’s Business Messaging Policy (where using Chat Shop);
  4. Attempt to gain unauthorised access to our systems, networks, or another user’s data;
  5. Reverse-engineer, decompile, or attempt to extract the source code of our software, except as permitted by law;
  6. Interfere with or disrupt the integrity or performance of our Services.

We reserve the right to suspend or terminate access for any use that violates this section.


4. Fees and payment

Fees for our products, platforms, and services will be set out in the applicable order form, subscription plan, or proposal. Unless otherwise agreed in writing:

  • Fees are quoted and payable in Singapore Dollars (SGD), exclusive of Goods and Services Tax (GST) where applicable, which will be added at the prevailing rate;
  • Invoices are due within the payment terms specified on the invoice;
  • Late payments may incur interest and/or suspension of Services, subject to reasonable prior notice.

5. Intellectual property

All intellectual property rights in our website, products, platforms, underlying software, and documentation (including trademarks, logos, source code, and content) are owned by or licensed to Cognix. Except as expressly permitted under these Terms or a separate written agreement, you may not copy, modify, distribute, sell, or create derivative works based on our Services.

Where we develop custom software for you under a services engagement, ownership of the resulting deliverables will be governed by the specific agreement for that engagement.

You retain ownership of the data and content you input into our platforms (“Customer Data“). You grant us a limited licence to host, process, and use Customer Data solely to provide the Services to you.


6. Third-party services

Some of our products integrate with third-party services (for example, WhatsApp Business API for Chat Shop, or payment gateways for QR Ordering). Your use of such integrations is also subject to the relevant third party’s terms and policies, and we are not responsible for the availability, performance, or practices of third-party services outside our control.


7. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Services, and to use such information only for the purposes of the engagement, except where disclosure is required by law.


8. Warranties and disclaimers

We will provide the Services with reasonable care and skill. Except as expressly stated in these Terms or in a specific written agreement, our Services are provided on an “as is” and “as available” basis, and we do not warrant that the Services will be uninterrupted, error-free, or fully secure against all possible threats. To the extent permitted by law, we disclaim all implied warranties, including warranties of merchantability and fitness for a particular purpose.


9. Limitation of liability

To the maximum extent permitted by law:

  • Neither party will be liable to the other for indirect, incidental, special, or consequential loss, or loss of profits, revenue, or data, arising out of or in connection with these Terms or the Services;
  • Our total aggregate liability arising out of or in connection with the Services will not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for fraud or for death or personal injury caused by negligence.


10. Indemnification

You agree to indemnify and hold Cognix harmless from any claims, losses, or damages arising from your breach of these Terms, your misuse of the Services, or your violation of any applicable law or third-party right.


11. Termination

We may suspend or terminate your access to the Services if you materially breach these Terms and fail to remedy the breach within a reasonable period after notice. You may terminate your use of a Service in accordance with the cancellation terms specified in your applicable order form or subscription plan. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law will survive termination.


12. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Singapore. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be referred to good-faith negotiation between the parties, and if unresolved, shall be subject to the exclusive jurisdiction of the courts of Singapore, or, where the parties so agree in a specific engagement, resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.


13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through our website or by email where appropriate, and the updated Terms will take effect from the date posted, with the “Last updated” date revised accordingly. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
